单位犯罪在国外称为法人犯罪，世界各国针对单位犯罪的社会危害性的特点都进行了独立于自然人犯罪的立法规制，惩治和预防单位犯罪大都采取“双罚制”。单位犯罪的刑事责任具有两重性特点，而对于单位犯罪刑事责任的双重性特点的法理依据，理论界则存在不同的认识，造成“双罚制”在实践中出现罚不当罪的现象。当前，我国的单位犯罪以职务犯罪和重大经济案件的形式大量涌现，“双罚制”在适用中也存在着刑罚的起刑点过高，对单位犯罪司法量刑不一和以罚代刑，重罪轻判的状况。本文通过具体阐析单位犯罪“双罚制”的法理依据——法定分担原则的概念，就当前我国“双罚制”适用中的缺陷，建议立法上适当降低单位犯罪的刑罚适用的起刑点，坚持承担刑事责任以单位为主体，严格司法，加强监督，完善各级监督预防机制，使“双罚制”真正成为遏制单位犯罪，保障社会利益的重要手段。
